These Terms of Service ("Terms") govern your use of the website at uinxstudio.com and the services provided by Uinx Studio ("we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Services

Uinx Studio provides digital design and development services including, but not limited to: UI/UX design, mobile application development, e-commerce development, CMS development, SaaS product development, and maintenance & support services. The specific scope, deliverables, timeline, and fees for each project are defined in a separate Statement of Work (SOW) or project proposal agreed upon by both parties in writing.

2. Acceptance of Terms

By using this website, submitting an inquiry, or engaging our services, you confirm that:

• You are at least 18 years of age or have the legal authority to enter into a contract.
• You have the legal capacity and authority to agree to these Terms on behalf of yourself or your organisation.
• All information you provide to us is accurate and complete.

3. Project Engagements & Payments

All project engagements are governed by a separate proposal or contract. Unless otherwise stated in writing:

• A deposit (typically 50%) is required to commence work.
• Remaining balances are due as outlined in the project proposal or at project completion.
• Invoices unpaid beyond the agreed payment terms may incur a late fee of 1.5% per month.
• We reserve the right to pause or suspend work on accounts with outstanding balances.
• All prices are in USD unless otherwise stated. Taxes applicable to your jurisdiction are your responsibility.

4. Intellectual Property & Ownership

Upon receipt of full payment for a project:

• All custom code, design files, and assets created specifically for your project are assigned to you in full.
• Uinx Studio retains the right to display the work in our portfolio and marketing materials unless you request otherwise in writing.
• Third-party libraries, frameworks, fonts, stock assets, or plugins used in the project remain subject to their respective licences. We will disclose any such dependencies.
• Any work created prior to full payment remains the property of Uinx Studio until payment is received.

5. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide timely feedback, approvals, and content as requested.
• Ensure that all content, logos, images, and materials provided to us do not infringe any third-party intellectual property rights.
• Appoint a single point of contact with authority to make decisions on your behalf.
• Notify us promptly of any changes to project requirements or scope.

Delays caused by late client feedback or content may affect project timelines and are not the responsibility of Uinx Studio.

6. Revisions & Scope Changes

Each project proposal includes a defined number of revision rounds. Work requested beyond the agreed scope will be quoted and billed separately. We will always notify you before commencing out-of-scope work and obtain your written approval.

7. Cancellation & Refunds

• You may cancel a project at any time with written notice. You will be invoiced for all work completed up to the date of cancellation.
• Deposits are non-refundable once work has commenced.
• If Uinx Studio cancels a project (other than for cause), we will refund any portion of prepaid fees attributable to undelivered work.
• Maintenance retainer subscriptions may be cancelled with 30 days' written notice.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This obligation survives termination of the agreement. We will not disclose your business information, technical requirements, or project details to third parties without your consent, except as required by law.

9. Warranties & Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee specific business outcomes, revenue, or conversion results from our work.
• Third-party platforms, APIs, and services are subject to their own terms and availability; we are not liable for disruptions caused by third parties.
• The website is provided "as is" without warranties of any kind beyond what is required by applicable law.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Uinx Studio's total liability to you for any claims arising from our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including loss of revenue or data.

11. Indemnification

You agree to indemnify and hold harmless Uinx Studio and its team members from any claims, damages, costs, or expenses (including reasonable legal fees) arising from: your use of our services, content or materials you provided to us, or your breach of these Terms.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes will first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts in Nashik, Maharashtra, India.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated by updating the "Last updated" date. Continued use of our website or services after changes constitutes your acceptance of the revised Terms.

14. Entire Agreement

These Terms, together with any applicable project proposal or SOW, constitute the entire agreement between you and Uinx Studio and supersede all prior understandings. If any provision is found unenforceable, the remaining provisions continue in full force.
